TERMS OF SERVICE - MMT Market Data API (Liquid Flows OÜ)

1. Acceptance of Terms
By accessing or using the MMT Market Data API (the "API") or any related services, documentation, software, dashboards, tools, and websites we provide (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Terms").
If you do not agree to these Terms, do not access or use the Services.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" or "your" refers to that organization.
2. Definitions
- "Company", "we", "us", "our": Liquid Flows OÜ.
- "API": The MMT Market Data API, including REST and WebSocket APIs.
- "Documentation": The technical documentation and product descriptions we make available for the Services.
- "Data": Any market data, metadata, content, responses, streams, outputs, or other information provided by or through the Services, including historical and real-time data.
- "Derived Data": Data that has been aggregated, transformed, calculated, or otherwise manipulated such that it (i) cannot reasonably be reverse engineered to recreate the underlying Data, (ii) is not a functional substitute for the Data, (iii) is not separately marketed by you as a data product, and (iv) has no independent commercial value apart from your internal use.
- "API Key": Any secret key, token, credential, or identifier used to authenticate or authorize access to the Services.
- "You", "your": The person or entity accessing or using the Services.
3. Service Description
The Services provide real-time and historical cryptocurrency market data from multiple exchanges via REST and WebSocket APIs. Details on supported endpoints, exchanges, and usage patterns are described in the Documentation.

The Services are provided for informational purposes only. We do not provide investment advice, brokerage services, trade execution, or recommendations. You are solely responsible for any decisions you make based on the Services.
4. Accounts, API Keys & Security
4.1. Account Responsibility. You are responsible for all activity that occurs under your account and API Keys. You must provide accurate account information and promptly update it if it changes.
4.2. Keep Keys Secret. API Keys are secret credentials. You must keep them confidential and use reasonable security measures to prevent unauthorized access.
4.3. No Public-Client Exposure. You must not embed, expose, or distribute API Keys in client-side applications (including browser, desktop, or mobile apps) or other public clients. Use API Keys only from trusted backend services and controlled environments.
4.4. Compromise Notification. If you suspect an API Key has been compromised, you must promptly revoke/rotate the key (where available) and notify us.
4.5. Revocation. We may suspend or revoke API Keys at any time for security reasons, suspected compromise, policy violations, non-payment, or to protect the Services.
5. Fair Use, Rate Limits & Abuse Prevention
5.1. Rate Limits and Quotas. The Services are subject to rate limits, quotas, and other usage restrictions as described in the Documentation or your plan/order form. We may change limits over time to protect service reliability and fair access.
5.2. Anti-Key-Sharing Controls. Your account and API Keys are for your use (and, where applicable, your authorized users within your organization) only. We may enforce technical controls to prevent credential sharing and abuse, including limits on concurrent sessions, connections, and/or access from multiple IP addresses.
5.3. No Circumvention. You must not attempt to circumvent usage controls, access restrictions, authentication, or security mechanisms, including by rotating IPs/accounts/keys to evade limits.
5.4. No Disruption. You must not use the Services in a way that disrupts, damages, degrades, or interferes with the Services or any third party’s systems.
6. License Grant & Permitted Use
6.1. Limited License. Subject to these Terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license during the term of your subscription to access and use the Services and Data for the Permitted Uses described below.
6.2. Permitted Uses (Internal Only). You may use the Services and Data solely for your internal business purposes, including creating Derived Data for internal use.
6.3. No External Distribution (No Redistribution Under Any Circumstances). You must not redistribute, publish, transmit, broadcast, display, sublicense, sell, resell, or otherwise make available any Data or Derived Data to any third party, whether in raw, aggregated, calculated, or otherwise transformed form. This prohibition includes, without limitation, making Data or Derived Data available:
- to customers, end users, or other third parties;
- via websites, applications, dashboards, APIs, data feeds, chat rooms, communities, messaging platforms, or reports;
- in a way that permits third parties to access, query, download, copy, store, or reconstruct the Data.
For the avoidance of doubt, no external distribution is permitted under any circumstances.
6.4. No Client-Facing Use. You must not use the Services or Data (or any portion thereof) in any product, service, or feature that is made available to any third party, including customer-facing products or services.
7. Prohibited Uses
Except as expressly permitted by these Terms, you must not:
- Redistribute, resell, sublicense, or otherwise provide the Services or Data (or any portion thereof) to any third party.
- Display, publish, or otherwise make available any Data or Derived Data outside your organization in any form (including aggregated or calculated outputs).
- Use the Services or Data to build, train, or operate a competing market data product or service.
- Copy, scrape, harvest, or extract Data in a manner inconsistent with the Documentation or intended use of the Services.
- Reverse engineer, decompile, disassemble, or attempt to derive source code, models, or non-public interfaces from the Services (except to the extent permitted by applicable law).
- Use the Services for unlawful purposes; to violate sanctions or export controls; to infringe intellectual property rights; or to transmit malware, harmful code, or conduct security testing without our prior written consent.
8. Third-Party Data, Exchange Terms & Additional Restrictions (Including Coinbase)
8.1. Third-Party Sources. The Data may be sourced from exchanges and other third parties. Those third parties may impose additional restrictions. You agree to comply with any such additional restrictions that apply to your use of the Data.
8.2. Coinbase Market Data Restrictions. Where the Services provide Coinbase market data, additional restrictions may apply. Without limiting other restrictions in these Terms, you agree that you will not:
- Disseminate Coinbase Data and/or derivative data derived from Coinbase Data to any third party.
- Use Coinbase Data to create financial products or for other prohibited uses as defined by applicable Coinbase market data policies and licensing requirements.
We may require you to make certain disclosures or provide certain information for reporting or compliance purposes related to Coinbase data licensing.
8.3. Enforcement and Changes. We may suspend or limit access to specific exchanges’ data (including Coinbase) if required by law, by an exchange, or if we reasonably believe your use violates applicable restrictions. We may also require you to accept updated terms applicable to specific data sources within a reasonable timeframe.
9. Attribution
You must not publicly display Data. If Data or Documentation includes attribution, copyright, proprietary legends, or source notices, you must not remove them from any copies you create for permitted internal use.
10. Intellectual Property
10.1. Ownership. All rights, title, and interest in and to the Services, Documentation, Data, and any associated intellectual property are owned by the Company and/or its licensors. No rights are granted except as expressly stated in these Terms.
10.2. Feedback. If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation, unless prohibited by law.
11. Confidentiality
You agree to keep confidential (a) your API Keys and other credentials, and (b) any non-public information we provide that is designated as confidential or that reasonably should be understood as confidential (including non-public pricing and service details). You may disclose such information only to personnel and service providers who need to know it for the Permitted Uses and who are bound by confidentiality obligations no less protective than these Terms.
12. Fees, Billing & Taxes
12.1. Fees. Fees (if any) are set out in your plan, invoice, or order form. Unless otherwise specified, fees are billed in advance.
12.2. Taxes. Fees are exclusive of applicable taxes, which you are responsible for paying.
12.3. Non-Refundable. Except where required by law or expressly stated in writing by us, fees are non-cancelable and non-refundable.
12.4. Payment Processors. We may use third-party payment processors. Your use of any payment processor is subject to that processor’s terms, and we are not responsible for payment processing errors outside our reasonable control.
13. Suspension, Termination & Discontinuation
13.1. Suspension/Termination by Us. We may suspend or terminate your access to the Services immediately if you breach these Terms, if payment is overdue, if we suspect abuse or unauthorized access, or if required by law.
13.2. Termination by You. You may terminate by stopping use and, where applicable, cancelling your subscription through the dashboard or via written notice consistent with your order form.
13.3. Effect of Termination. Upon termination, the license granted in these Terms ends and you must cease accessing and using the Services. If we request, you will promptly delete non-public Documentation and confidential materials provided by us (excluding Derived Data created in compliance with these Terms prior to termination, unless otherwise required by law or an order form).
13.4. Service Changes/Discontinuation. We may modify, suspend, or discontinue the Services (or any part) at any time. We will use commercially reasonable efforts to provide notice for material changes when practical, but we do not guarantee advance notice.
14. Warranties & Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.
WE DO NOT WARRANT THAT THE SERVICES OR DATA WILL BE ERROR-FREE, UNINTERRUPTED, TIMELY, COMPLETE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited by applicable law.
16. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party rights.
17. Audit & Compliance Certification
We may request that you certify in writing your compliance with these Terms, including your use of the Services and Data. Where required by third-party licensors or exchanges, additional audit or reporting obligations may apply.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will use reasonable efforts to provide notice (e.g., by email or in-product notice). Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
19. Governing Law & Disputes
These Terms are governed by the laws of Estonia, without regard to conflict of laws rules. Disputes shall be resolved in the courts of Estonia, unless mandatory consumer protection laws provide otherwise.
EU consumers may also pursue disputes via the EU Online Dispute Resolution platform, where applicable.
20. Miscellaneous
20.1. Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control (including outages, natural disasters, war, terrorism, labor disputes, and failures of third-party providers).
20.2. Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
20.3. Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
20.4. No Waiver. Failure to enforce any provision is not a waiver.
20.5. Entire Agreement. These Terms, together with any order form or plan terms you accept, constitute the entire agreement between you and us regarding the Services.
